The license agreement which follows ("the Agreement") specifies the terms and conditions pursuant to which William Mastrosimone ("the Author") is willing to license to you ("Licensee") the right to produce and present his play entitled BANG BANG YOU'RE DEAD ("the Play") in a non-professional production at a theater or other place of performance chosen by you.

BY CLICKING ON THE "ACCEPTED" ICON BELOW, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. SHOULD YOU PRODUCE AND PRESENT THE PLAY BUT DISREGARD OR OTHERWISE ACT IN VIOLATION OF ANY OF THE TERMS AND CONDITIONS OF THE LICENSE, YOU MAY FIND YOURSELF IN VIOLATION OF THE AUTHOR'S COPYRIGHT IN THE PLAY OR OTHERWISE IN VIOLATION OF THE AUTHOR'S RIGHTS, WHICH IN TURN COULD SUBJECT YOU TO LEGAL LIABILITY FOR COPYRIGHT INFRINGEMENT OR BREACH OF CONTRACT, OR BOTH.

THERE IS NO CHARGE FOR THE LICENSE WHICH FOLLOWS, AND THE AUTHOR ENCOURAGES ALL INTERESTED PARTIES TO PRODUCE AND PRESENT THE PLAY; IN RETURN, HOWEVER, HE DOES EXPECT AND REQUIRE THAT THE TERMS AND CONDITIONS OF THE LICENSE AGREEMENT BE HONORED IN ALL RESPECTS.

LICENSE AGREEMENT.

  1. The Author hereby grants licensee the non-exclusive right to produce the Play at a theater or other place of performance selected by Licensee, for a number of consecutive performances determined by Licensee.
  2. The Author will make available to Licensee upon Licensee's acceptance of this agreement (by clicking on the "ACCEPTED" icon) a copy of the script of the play ("the Script"). Licensee may reproduce the Script in sufficient copies to provide a copy to the director, each of the actors, and any other individuals who require a copy in order to produce, present and publicize Licensee's production of the Play, but subject in all instances to the provisions of Paragraph 5 below. The Script constitutes the only acting edition of the Play authorized by the Author.
  3. There is no charge for this license, but Licensee is required to honor all of its terms and conditions.
    Prior to the first performance of its production of the Play, Licensee shall notify the Author by e-mail, at performances@bangbangyouredead.com, of Licensee's name, Licensee's e-mail address, the date of Licensee's commnication, the number of performances which Licensee plans to present, and the name, address and seating capacity of the theater or other place of performance at which Licensee's production will be presented.
  4. Licensee represents and warrants that the Script will not be used for any purpose other than as specified in this license, and will not be copied, reproduced, sold or otherwise distributed by Licensee except as specifically permitted hereunder. All copies of the Script shall upon the termination of Licensee's production be destroyed, other than a single copy of the Script which may be retained by Licensee for archival purposes, but which may not be further reproduced under any circumstances.
  5. No changes, alterations or amendments of any kind shall be made in the Play, except as indicated in the Script, without the express prior written approval of the Author. Licensee may not televise, videotape, film, broadcast or otherwise record or reproduce the Play or any portion of the Play by any means whatsoever, nor authorize anyone else to do so, without the express written permission of the Author after disclosure of all relevant details. (Normal media coverage of Licensee's production of the Play, including the televising or video-taping of any section of the Play for critical or publicity purposes, not to exceed 60 seconds in the aggregate, shall not be deemed a violation of this provision.)
  6. This license relates only to an amateur production of the Play. No admission may be charged in any form, whether directly or indirectly, nor may donations be solicited nor refreshments nor merchandize sold at prices in excess of cost.

    All inquiries regarding professional productions of the Play shall be directed to George Lane, William Morris Agency, Inc., 1325 Avenue of the Americas, New York, New York 10019. Professional productions of the Play are not authorized hereunder.

  7. No translation of the Play may be made into any other language except with the express written permission of the Author.
  8. Licensee shall bill the Play in all programs, houseboards, displays and in all advertising and publicity in the following manner:

    By William Mastrosimone Not less than 50%, and no smaller in size than the credit accorded to any director, designer, actor or any other credited individual.
    Presented under license from the Author Not less than 50% of the size of the credit accorded the Author.

  9. All rights title and interest of every kind relating to the Play, except the rights specifically licensed to Licensee hereunder, are expressly reserved to the Author for his unrestricted use or disposition.
  10. Licensee represents and warrants that it has the ability to enter into this agreement and to fully perform all of its obligations hereunder. Licensee hereby indemnifies and agrees to hold the Author harmless against all damages, expenses and costs incurred by the Author (including reasonable attorney's fees) by reason of the breach of any of the promises made or the obligations undertaken by Licensee in this agreement.
  11. This agreement shall be construed and interpreted in accordance with the laws of the State of New York applicable to agreements made and wholly to be performed therein.
  12. This agreement shall be binding upon the respective successors and assignees of Licensee and the Author. Licensee may not assign this agreement to any person or legal entity without the prior written consent of the Author.
  13. This agreement contains the entire understanding between the Author and Licensee, and may not be modified except by means of a subsequent writing signed by them.
